HARMONIC HARBOUR TERMS & CONDITIONS

1. ABOUT THESE TERMS
These Terms & Conditions govern use of Harmonic Harbour by freelancers, clients, prospective clients, website visitors and other users.
“Harmonic Harbour”, “HH”, “we”, “us” and “our” refer to Harmonic Harbour.
“Freelancer” means an independent audio professional listed on or applying to Harmonic Harbour.
“Client” means a person, business or organisation browsing Harmonic Harbour or contacting a Freelancer independently.
By using Harmonic Harbour, submitting information, applying to join, or maintaining a Freelancer profile, you agree to these Terms where applicable.
Nothing in these Terms creates an employment relationship between Harmonic Harbour and any Freelancer.
2. TEMPORARY PORTFOLIO-ONLY MODEL
Harmonic Harbour is currently operating as a free portfolio-hosting and promotional platform for independent audio professionals.
During this temporary operating period, Harmonic Harbour does not:
- charge Freelancers for finding work;
- charge Clients for introductions or successful engagements;
- receive Client briefs for the purpose of matching them with Freelancers;
- create personalised shortlists for Clients;
- recommend specific Freelancers to specific Clients for paid work;
- proactively pitch named Freelancers to prospective Clients;
- make managed introductions between Clients and Freelancers;
- negotiate project terms, rates or contracts;
- receive or hold payments between Clients and Freelancers; or
- operate as an escrow or payment intermediary.
Harmonic Harbour may update this operating model in the future after obtaining appropriate legal or regulatory guidance. Any future paid or work-finding service will be subject to separate or updated terms before it takes effect.
3. WHAT HARMONIC HARBOUR CURRENTLY PROVIDES
Harmonic Harbour may currently provide:
- free public Freelancer profiles;
- portfolio hosting;
- display of professional information supplied by Freelancers;
- general promotion of Harmonic Harbour and its Freelancer network;
- general social-media promotion of Freelancer profiles or work;
- profile search, browsing and filtering;
- profile updates;
- links to Freelancer-selected external websites, social profiles or contact methods;
- community and networking features; and
- general platform development and improvement.
Harmonic Harbour does not guarantee that any Freelancer will receive enquiries, paid work or any particular level of exposure or income.
4. FREE FOR FREELANCERS
Under the current temporary portfolio-only model:
- there is no standard fee to apply to Harmonic Harbour;
- there is no standard fee to maintain a Freelancer profile;
- Harmonic Harbour does not charge Freelancers a work-finding commission;
- Harmonic Harbour does not take a percentage of Freelancer earnings;
- Harmonic Harbour does not charge Clients a sourcing or introduction fee; and
- Harmonic Harbour does not receive a share of royalties, streaming income or other continuing Freelancer income.
Freelancers keep 100% of any income they obtain independently.
5. INDEPENDENT CONTACT BETWEEN CLIENTS AND FREELANCERS
Clients may browse public Freelancer profiles and use any public contact method or external link that a Freelancer has chosen to display.
Any contact, enquiry, negotiation, agreement, engagement or payment arising after that point takes place independently between the Client and Freelancer.
Harmonic Harbour is not a party to that relationship.
Harmonic Harbour does not verify, supervise, approve, negotiate, arrange or guarantee any independent engagement between a Client and Freelancer during the temporary portfolio-only period.
6. INDEPENDENT STATUS OF FREELANCERS
Freelancers listed on Harmonic Harbour are independent professionals.
Unless expressly agreed otherwise in writing:
- Harmonic Harbour does not employ Freelancers;
- Harmonic Harbour does not employ Freelancers on behalf of Clients;
- Harmonic Harbour does not control how Freelancers perform their work;
- Harmonic Harbour does not set Freelancer working hours;
- Harmonic Harbour does not set Freelancer rates;
- Harmonic Harbour does not enter into Client contracts on behalf of Freelancers; and
- Harmonic Harbour does not pay Freelancers.
Freelancers remain responsible for their own tax, National Insurance, accounting, invoicing, insurance and other business obligations.
7. FREELANCER INFORMATION
Freelancers agree that information supplied to Harmonic Harbour will be accurate and not deliberately misleading.
This may include:
- professional name;
- biography;
- skills;
- services;
- professional experience;
- software knowledge;
- portfolio material;
- rates where provided;
- external links;
- location;
- availability information; and
- other professional details.
Freelancers must notify Harmonic Harbour if material public information becomes inaccurate.
8. FREELANCER PROFILES AND PORTFOLIO MATERIAL
Freelancers retain ownership of their original portfolio material.
By supplying material for publication, the Freelancer grants Harmonic Harbour a non-exclusive, worldwide, royalty-free licence to reproduce, display and communicate that material solely for:
- operating the Freelancer’s profile;
- promoting the Freelancer’s profile;
- promoting Harmonic Harbour and its network; and
- displaying the Freelancer’s work to website visitors.
The Freelancer confirms that they own the relevant material or have permission to use it for these purposes.
Freelancers may request reasonable profile amendments or removal of portfolio material by contacting Harmonic Harbour.
9. PUBLIC CONTACT INFORMATION
Freelancers may choose to display professional contact methods or external links on their public profiles.
Freelancers should only provide contact information they are comfortable making publicly accessible.
Where a Client uses a public contact method to contact a Freelancer directly, Harmonic Harbour does not participate in or control the resulting communication.
10. NO GUARANTEE OR ENDORSEMENT
The presence of a Freelancer profile on Harmonic Harbour does not constitute a guarantee by Harmonic Harbour concerning:
- the Freelancer’s suitability for a particular project;
- the quality of future work;
- availability;
- pricing;
- contractual performance;
- payment arrangements; or
- the outcome of any independent Client-Freelancer relationship.
Clients remain responsible for carrying out their own assessment before engaging a Freelancer.
11. REVIEWS AND FEEDBACK
Harmonic Harbour may operate a review or feedback system.
Reviews or feedback may be moderated or removed where there is reasonable evidence that they are:
- fraudulent;
- abusive;
- defamatory;
- unrelated to the work;
- submitted in bad faith; or
- otherwise unlawful.
Harmonic Harbour may retain reasonable information necessary to verify that a genuine professional relationship occurred.
12. PROFESSIONAL CONDUCT
Users agree to behave professionally when interacting with Harmonic Harbour.
Harmonic Harbour may suspend or remove profiles or users for conduct including:
- fraud;
- unlawful behaviour;
- threats or harassment;
- material misrepresentation;
- intellectual-property infringement;
- repeated bad-faith conduct; or
- serious breaches of these Terms.
13. INTELLECTUAL PROPERTY BETWEEN CLIENTS AND FREELANCERS
Harmonic Harbour does not determine who owns work created by a Freelancer for a Client.
Ownership, licensing, royalties and usage rights must be agreed directly between the Freelancer and Client.
Nothing on Harmonic Harbour automatically transfers ownership of a Freelancer’s intellectual property to a Client.
14. CONFIDENTIALITY
Harmonic Harbour is not responsible for confidentiality arrangements entered into independently between Clients and Freelancers.
Clients and Freelancers remain responsible for any NDAs or confidentiality obligations they agree with one another.
15. DATA PROTECTION
Harmonic Harbour processes personal information in accordance with its Privacy Policy and applicable UK data-protection law.
Public Freelancer profile information may be displayed to website visitors.
Non-public application or account information will be handled in accordance with the Privacy Policy.
16. RECORDS
Harmonic Harbour may retain appropriate records concerning:
- Freelancer applications;
- Freelancer profiles;
- profile changes;
- website administration;
- feedback or complaints;
- communications with Harmonic Harbour; and
- records necessary for legal, regulatory, accounting or security purposes.
17. PROFILE REMOVAL AND TERMINATION
Freelancers may request removal of their public profile by contacting Harmonic Harbour.
Harmonic Harbour may suspend or remove a profile or user where reasonably necessary because of:
- suspected fraud;
- unlawful conduct;
- serious misconduct;
- intellectual-property infringement;
- threats or harassment;
- material misrepresentation;
- security concerns; or
- serious breach of these Terms.
18. FUTURE CHANGES TO THE PLATFORM
Harmonic Harbour may introduce additional services in the future, including work-finding, matching, introduction or paid Client services.
No future fee or work-finding arrangement will apply retrospectively.
Where a new service materially changes the relationship between Harmonic Harbour and Freelancers or Clients, updated terms will be published and any required agreement will be obtained before that service takes effect.
19. CHANGES TO THESE TERMS
Harmonic Harbour may update these Terms where reasonably necessary because of:
- changes to the platform;
- legal or regulatory developments;
- security requirements; or
- new services.
The latest version will be published on the Harmonic Harbour website.
20. LIMITATION OF LIABILITY
Nothing in these Terms excludes or limits liability where doing so would be unlawful.
Subject to that qualification, Harmonic Harbour is not responsible for:
- a Client’s failure to pay a Freelancer;
- breach of contract between a Client and Freelancer;
- loss caused by inaccurate information supplied by a Client or Freelancer;
- disputes arising from independent Client-Freelancer relationships;
- indirect or consequential losses;
- loss of anticipated work;
- interruption to the website; or
- acts or omissions of third-party services outside Harmonic Harbour’s reasonable control.
21. Member Accounts and Profile Editing
Accepted Freelancers may be provided with a member account that allows them to access and edit certain information displayed on their Harmonic Harbour profile.
Members are responsible for ensuring that information they add, upload or modify through their account is accurate, lawful, professional and relevant to their own profile. Members must not use the profile editing system to:

impersonate another person or misrepresent their identity, experience, credits or professional background;

upload or publish content they do not have the right to use;

add unlawful, abusive, defamatory, discriminatory, misleading, malicious or otherwise inappropriate material;

attempt to access, modify or interfere with another member's profile, account or Harmonic Harbour's systems;

upload malicious code or intentionally attempt to disrupt the website;

use their account or profile for spam, scams, fraudulent activity or purposes unrelated to their professional presence on Harmonic Harbour; or
-
otherwise misuse the account or profile editing functionality.
Harmonic Harbour reserves the right to remove or amend content, restrict editing privileges, suspend an account, remove a profile, or permanently remove a member from the platform where these Terms are breached or where Harmonic Harbour reasonably considers this necessary to protect the platform, its users, clients or third parties.
Serious or repeated misuse of the account or profile editing functionality may result in permanent removal from Harmonic Harbour.
Members are responsible for maintaining the confidentiality and security of their account credentials and should notify Harmonic Harbour if they believe their account has been accessed without authorisation.
22. COMPLAINTS
Complaints concerning Harmonic Harbour can be sent to:
Harmonic Harbour will make reasonable efforts to investigate and respond appropriately.
23. GOVERNING LAW
These Terms are governed by the laws of England and Wales.
The courts of England and Wales will have jurisdiction, subject to any mandatory legal rights that provide otherwise.
